1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ShopRouterPro ("we," "our," or "us") governing your use of our manufacturing routing software service ("Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Service Description

ShopRouterPro provides cloud-based manufacturing routing software that enables users to:

  • Create and manage master routings for manufacturing processes
  • Generate work orders and production travelers
  • Track materials, work centers, and outside processes
  • Manage purchase orders and vendor information
  • Collaborate with team members

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. ITAR and Export Control Compliance

CRITICAL: EXPORT CONTROL RESTRICTIONS

ShopRouterPro is NOT ITAR-compliant and is NOT certified for storing defense-related technical data or export-controlled information.

YOU ARE STRICTLY PROHIBITED FROM:

  • Uploading, storing, or processing any ITAR-controlled technical data
  • Storing defense articles or defense services information
  • Uploading export-controlled technical data (EAR/ITAR)
  • Storing classified or CUI (Controlled Unclassified Information)
  • Processing data subject to DFARS 252.204-7012 requirements
  • Storing technical data related to defense articles on the U.S. Munitions List

COMPLIANCE RESPONSIBILITY:

You are solely responsible for ensuring compliance with all U.S. export control laws, including but not limited to the International Traffic in Arms Regulations (ITAR) (22 CFR 120-130), Export Administration Regulations (EAR) (15 CFR 730-774), and any other applicable export control regulations.

VIOLATION CONSEQUENCES:

Violations of ITAR can result in civil penalties up to $1,000,000 per violation and criminal penalties including imprisonment. By using this Service, you acknowledge that you understand these risks and will not upload any controlled technical data.

Disclaimer: ShopRouterPro is designed for commercial manufacturing operations. The platform uses cloud infrastructure that may not meet ITAR or DFARS cybersecurity requirements. We do not warrant compliance with any export control regulations.

4. Account Registration

4.1 Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your account information is accurate and up-to-date

4.3 Account Types

Accounts are associated with organizations. Each organization can have multiple users with different permission levels. Organization owners have full control over the organization and billing.

5. Subscription Plans

5.1 Free Plan

Free plan includes:

  • Up to 3 master routings
  • Up to 5 work orders
  • 1 team member
  • Basic features

Free plan is available indefinitely but subject to the usage limits above.

5.2 Pro Plan

Pro plan includes:

  • Unlimited master routings
  • Unlimited work orders
  • Unlimited team members
  • Priority support
  • Advanced features

Price: $99/month or $990/year (billed annually)

5.3 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the end of your current billing period.

6. Payment Terms

6.1 Billing

  • Pro plan subscriptions are billed monthly or annually in advance
  • All payments are processed securely through Stripe
  • Prices are in U.S. Dollars (USD)
  • You authorize us to charge your payment method on a recurring basis

6.2 Refunds

Payments are non-refundable except as required by law or as expressly stated in these Terms. We do not provide refunds for partial months or unused service.

6.3 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment fails repeatedly, we may suspend or downgrade your account to the Free plan. You remain responsible for any outstanding amounts.

6.4 Price Changes

We may change our pricing with 30 days advance notice. Price changes will not affect your current billing period. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Cancellation and Termination

7.1 Cancellation by You

You may cancel your Pro subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access until then.

7.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Abuse the Service or other users
  • Fail to pay amounts due

7.3 Effect of Termination

Upon termination, you will lose access to the Service and your data. We may delete your data after 30 days. We recommend exporting your data before cancellation.

8. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Upload malware, viruses, or malicious code
  • Reverse engineer, decompile, or disassemble the Service
  • Scrape, spider, or crawl the Service
  • Share your account credentials with others
  • Use the Service to harass, abuse, or harm others
  • Violate others' intellectual property rights
  • Resell or redistribute the Service without authorization

9. Your Data and Content

9.1 Ownership

You retain all rights, title, and interest in the data and content you upload to the Service ("Your Content"). We do not claim ownership of Your Content.

9.2 License to Us

You grant us a limited, worldwide, non-exclusive license to use, store, and process Your Content solely to provide and improve the Service. This license terminates when you delete Your Content or close your account.

9.3 Responsibility

You are solely responsible for Your Content. You represent and warrant that:

  • You own or have the right to upload Your Content
  • Your Content does not violate any laws or third-party rights
  • Your Content is accurate and not misleading

9.4 Data Security

We implement reasonable security measures to protect Your Content, but we cannot guarantee absolute security. You are responsible for maintaining backups of Your Content.

10. Intellectual Property

10.1 Our Rights

ShopRouterPro, including all software, designs, text, graphics, and other content (excluding Your Content), is owned by us and protected by copyright, trademark, and other intellectual property laws.

10.2 License to You

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms.

10.3 Trademarks

"ShopRouterPro" and related logos are our trademarks. You may not use them without our prior written permission.

11. Disclaimers

IMPORTANT:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

12. Limitation of Liability

IMPORTANT:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless ShopRouterPro and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content

14. Third-Party Services

The Service may integrate with or contain links to third-party services (Stripe, Google, etc.). We are not responsible for third-party services and your use of them is subject to their own terms and policies.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, you agree to contact us at support@shoprouterpro.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes.

15.2 Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Arbitration will take place in the United States.

15.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last Updated" date
  • Sending an email notification (for material changes)

Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

18.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

18.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

18.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms at any time.

18.5 Survival

Provisions that by their nature should survive termination (payment obligations, disclaimers, limitation of liability) will survive.
